OU became the latest monkey wrench thrown into the TAM situation. About a week ago everything was looking good for TAM to finalize this move to the SEC, then BOOM! Oklahoma said that they were exploring options. This caused some of the lesser programs in the Big12 to panic, namely Baylor.
Initially it wasn't going to be a problem for A&M to leave, because the 12 would still keep OU and back-fill with possibly BYU or another Texas team or two. Now the big dogs are jumping ship and programs like Baylor (especially Baylor) see the writing on the wall. That's why Baylor is trying to hold TAM hostage with the threat of possible legal action because they know that they just became the newest addition to Sunbelt or the WAAC.
Baylor brings nothing to the 12, and has successfully stayed within that conference by riding coat tails and taking orders from Texas. They know that no power conference wants anything to do with them, and now it's hitting the fan.
